General Terms and Conditions of Sale

1.1. All invoices are payable in full upon receipt, net and without discount.

1.2. No prices shall be communicated orally; only written quotes are valid. Offers are valid for 7 days, including for the taking and/or confirmation of measurements. Any written order is binding upon the buyer, even without the payment of a deposit, but shall only be binding upon us following our formal acceptance.

1.3. Delivery and/or installation lead times are provided for information purposes only and may under no circumstances be imposed upon us as grounds for contract termination or claims for damages. The lead time shall commence once the deposit is received (if requested), or following the approval and signature of the order confirmation and the confirmation/taking of measurements. Any deposit paid shall serve as agreement to the order of the submitted quote.

1.4. Our responsibilities are strictly limited to the works enumerated in our offer. Furthermore, any supports must be ready to receive our work, and the site must be accessible without requiring special handling or equipment.

2.1. All our prices are exclusive of VAT. Any increase in VAT or any new taxes, fees, or levies in general shall be borne by the client. The client is further responsible for any potential exemptions or reductions they may benefit from and must inform us of such in writing at the time the order is placed.

2.2. Our services are payable according to the following terms:

40% upon ordering.

40% 7 days prior to site confirmation, upon submission of proof of payment.

The balance within 2 weeks following installation, unless otherwise agreed or for small-scale projects. For delivery-only orders: 60% upon ordering & 40% upon collection.

2.3. All claims must be submitted via registered mail within eight days of delivery or installation and do not exempt the client from payment.

2.4. For all disputes, the courts of Brussels shall have sole jurisdiction.

2.5. In the event of order cancellation, deposits or retainers will not be refunded. If manufacturing is underway, the indemnity shall be increased to 80% of the total price. If manufacturing is completed, the client must pay the full amount of the invoice upon issuance.

2.6. Any invoice unpaid by its due date shall, by right and without prior notice of default, accrue late interest at a rate of 15% per annum from the invoice date. In addition to the aforementioned conventional interest, a fixed indemnity equivalent to 20% of the total amount of the due invoices shall be owed, with a minimum of €125.00. Costs for formal notice via registered mail, legal fees, and bailiff costs shall be borne by the client.

2.7. Any potential supplements to our quotes will be calculated at the fairest possible rate.

2.8. If we are unable to complete the work due to circumstances beyond our control (e.g., other trades, any site-related issues, etc.), we reserve the right to issue a progress invoice and demand payment for the same.

2.9. In the event of non-payment, all outstanding invoices shall become immediately due, and we further reserve the right to suspend the execution of any contract concluded with the client.

2.10. If the client (Project Owner) fully or partially renounces the agreed works, they are required, in accordance with Article 1794 of the Civil Code, to compensate us for all our expenses, all our labor, and lost profits—fixed at 20% of the amount of the unexecuted works—without prejudice to our right to prove actual damages should they be higher.

3.1. Lead times begin after final measurements have been taken and the required deposit has been paid. These lead times are provided for information purposes only and refer to working days (excluding holidays, etc.):

• Solid-colored White PVC: 4 – 6 weeks
• Foiled PVC: 6 – 8 weeks
• Aluminum: 8 – 10 weeks
• Wood (depending on species and certification): 8 – 12 weeks

3.2. Any event not exclusively constituting force majeure that compels us to temporarily suspend our work—such as accidents, fire, strikes, delays in supplies, lack of spare parts, equipment failure, or other supply difficulties—shall result in an extension of the execution period equal to the duration of the suspension.

3.3. In any event, our liability may only be engaged in the case of significant delay attributable to gross negligence on our part.

3.4. Furthermore, any modification made to the order renders the agreed lead times inapplicable.

3.5. In the event of pre-ordering profiles without final measurements, the lead time starts from the moment the final measurements are taken.

3.6. If we are required to store profiles because final measurements cannot be taken, storage fees will be charged after 4 weeks at a rate of €25.00 excl. VAT per day.

3.7. Similarly, if we cannot install the frames following their manufacture within the announced timeframes, storage fees will be charged starting from the first day of availability at a rate of €25.00 excl. VAT per day.

4.1. Interior finishes.

4.2. Electricity, unloading zone (parking).

4.3. Connection of electrical accessories by a certified electrician.

4.4. Protection of frames after installation; monitoring against potential damage after installation (vandalism).

4.5. A secure location for the storage of frames during installation work and monitoring against theft and vandalism.

4.6. Construction crane or lift with an operator for transporting frame components to the respective floors, if necessary.

4.7. Reservation files and other documents to be provided to official bodies (Police, Osiris, etc.).

4.8. Rental of necessary traffic signs/panels.

5.1. Warranties are granted in accordance with current legislation and within the framework of warranties provided by our suppliers. (Note: Door seals/Kaltefeinds under doors are very often damaged by electrical cords, cement runoff during tile regrouting, or during finishing works. The replacement of these is not covered by the warranty and any replacement will be invoiced.)

5.2. Warranties take effect from the date of manufacture of the joinery and glazing and have the same duration as those offered by our suppliers. They are valid provided the joinery is used under normal conditions, environment, and maintenance, and that all invoices are paid in full. (No warranty intervention without full payment of invoices). Each client shall maintain their joinery with “due diligence” (en bon père de famille).

5.3. Examples of warranties (subject to change by supplier): a. Shutters/blinds: 2 years. b. PVC, Wood, and Aluminum joinery: 10 years, in accordance with the laws of the Kingdom of Belgium. White PVC color: 10 years; other colors: 5 years. Aluminum powder coating: 10 years. c. Hardware: 1 year. d. Glazing defects: 10 years (glass breakage is not covered). e. Garage doors: 10 years for panels, 2 years for springs and hardware, 5 years for motors.

5.4. The provision by us of plans, calculations, advice, designs, etc., is always intended as a simple suggestion and is subject to verification by an architect or engineer at the client’s intervention and expense.

5.5. Excluded from the conventional warranty are: issues resulting from causes external to our services; apparent defects at the time of provisional acceptance that were not noted in the acceptance report; defects resulting from lack of maintenance; work carried out by the client or third parties on our work; and defects resulting from use not in accordance with the intended purpose.

5.6. Generally, technical requirements prevail over aesthetic preferences; consequently, the latter cannot result in any specific liability on our part.

5.7. Measurements are taken after the structural work (gros-œuvre) is finished; otherwise, the dimensions listed on the schedule are definitively binding.

5.8. The cleaning of exterior joinery and the removal of silicone residue must be performed by the client after the completion of our work and the polymerization of the silicone joints.

6.1. Installation is always calculated based on a support that is perfectly level and correctly installed. The back of the rebates (battées) must be cleared of excess mortar, and insulation must be trimmed so as not to obstruct the correct installation of the frames.

6.2. Exterior finishing is provided via silicone (maximum 8mm), and interior finishing via insulating foam injection, included in the installation price and performed during the same work phase. No financial deduction/withholding shall be granted if silicone joints are performed in a second phase due to weather conditions, scheduling, or supplier stock shortages.

6.3. During renovation (and occasionally in new builds), a significant gap may appear between the frame and the masonry if the latter is not plumb. Re-pointing with cement will be necessary and shall be at your expense.

6.4. Installation and silicone work are performed in a single work phase. Any interruption or modification made at your request will systematically result in a surcharge.

6.5. The removal and reinstallation of existing finishes (casings/architraves) are not guaranteed, even if these services are paid for.

6.6. Any damage to existing interior window sills that are retained is not covered.

6.7. Damage to furniture or breakage of objects is not covered by our insurance if they have not been removed and/or protected by you.

6.8. The removal of an existing shutter often results in interior sills or casings that are too narrow. The addition of a “monoblock” shutter requires a sill 5cm deeper than standard. In renovation, the latter is often too short and may require a PVC adaptation (flat strip or sill).

6.9. The client must ensure site accessibility during working hours. Any additional travel will be invoiced as “time and materials” (en régie) with a minimum of €300.00 excl. VAT per person dispatched.

6.10. In cases where installation is impossible (e.g., unsuitable support, incorrect opening measurements, or other errors by the contractor/owner/architect), a flat fee of minimum €300.00 excl. VAT per person dispatched will be invoiced.

6.11. Installation in multiple phases at the client’s request: €500.00 excl. VAT per phase.

6.12. Prices including installation are set assuming that rooms are cleared of furniture and ornaments and are easily accessible.

6.13. Unless otherwise agreed, installation will only take place after payment of the second deposit, which must be settled at the latest upon delivery. If it is found during installation that the second deposit has not been paid, installation may be postponed, and any additional costs related to rescheduling (including transport, lost hours, etc.) will be fully invoiced to the client.

6.14. In renovation, the client is aware of the excessive dust generated and shall ensure furniture is moved and protected. The client shall also protect floors, carpets, parquets, and stairs.

7.1. Silicone surcharge (second phase up to 50 km): €150.

7.2. Additional transparent silicone cartridge: €8.00.

7.3. Mortar jointing around frames: €15/meter (minimum €80).

7.4. Replacement of a Kaltefeind (door seal): €200.

7.5. Cleaning rebates in new construction (mortar/insulation removal): €10/meter (minimum €150).

7.6. Unjustified technician call-out at client request: €250.

7.7. Interior finishes (plastering with corner bead): €35/linear meter.

7.8. Cleaning of frames and glass: €6/m² (plus €150 flat fee if at height).

7.9. Hourly rate work (Régie): €70 call-out fee + €80/hour per person.

7.10. Additional works shall under no circumstances release the client from the total payment of the initial quote.

7.11. Per point 4.7, we can handle reservation files. Traffic plans and other items will be outsourced, and all costs will be invoiced to you. Management hours will be billed at €80/hour.

7.12. Per point 4.8, we can handle sign rentals. These will be outsourced, and all costs will be invoiced to you. Management and pick-up/drop-off will be billed at €80/hour.

9.1. For collections from our workshops by you, the goods are the responsibility of the recipient/carrier. We cannot be held liable for damage occurring during transport.

9.2. We are not liable for any deterioration of your goods after delivery and/or installation, regardless of the cause.

9.3. Differences in shade between samples and materials used cannot be held against us, as assortments are deemed to be executed as closely as possible. RAL colors are the reference standard; however, slight variations in tint between profiles, door panels, hardware, garage doors, and shutters from different suppliers may exist and must be accepted.

9.4. Our prices are adjusted in the event of increases in wages, social charges, or material costs. Quotes may be revised after 30 days without notice. Any written order may also be subject to an increase if production has not yet started.

9.5. Retention of Title: All materials remain our exclusive property until full payment of invoices, fees, interest, and penalties. No exceptions.

9.6. We reserve the right to make any modifications to our production deemed useful for product improvement without notice or indemnity.

9.7. During the removal of old frames, we prioritize minimizing damage, which often requires sawing frames on-site. The removal of marble, wood, or stone sills is usually necessary; while performed according to best practices, this does not exclude potential breakage. Under the “entrusted property” rule, the client assumes this risk. Replacement by us will be invoiced.

9.9. Adjustments requested more than 3 months after the invoice date requiring a technician will be invoiced for travel and labor. Glazing that cracks 2 weeks after installation is not covered by warranty and its replacement will be invoiced.

9.10. To be valid, any claim must reach us via registered mail within eight days of receipt of the invoice.

10.1. Minor defects may occasionally appear on the surface of the profile or glazing. If they are not visible from a distance of three meters, they must be accepted in accordance with the professional codes of conduct (règles déontologiques) of our trade.
